1. About These Terms

These Terms of Service ("Terms") govern your engagement of Review Recorder, a review generation service operated by SEO Growth ("we", "us", "our"), a digital marketing agency based in Australia. By engaging our services, you ("Client", "you") agree to be bound by these Terms.

2. Our Services

Review Recorder is a done-for-you service. We send personalised review requests via SMS and/or email to your customers on your behalf, directing them to leave a Google review for your business. Our services include:

  • Sending personalised SMS and email review requests to customers you nominate.
  • Configuring your Google review link and messaging templates.
  • Providing a dashboard to submit customer details and view request history.
  • Monthly performance reporting on delivery and review outcomes.

We are a service provider acting on your instructions. We do not guarantee that any customer will leave a review, nor do we guarantee any specific star rating or review content.

3. Client Responsibilities

By using our services, you agree that:

  • You have a legitimate existing business relationship with each customer whose details you provide to us.
  • You have obtained appropriate consent from your customers to be contacted via SMS and/or email for the purpose of requesting a review.
  • All customer information you provide is accurate and up to date.
  • You will not use our service to send messages to individuals who have not engaged your services or who have opted out of communications.
  • You will comply with all applicable Australian laws, including the Spam Act 2003, the Privacy Act 1988, and the Do Not Call Register Act 2006.
  • You will not use our service to solicit fake, misleading, or incentivised reviews.

4. Fees and Payment

  • Fees are charged monthly in advance based on your selected plan.
  • All prices are in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise.
  • Payment is processed via Stripe. By providing payment details, you authorise recurring charges.
  • If payment fails, we may suspend your service until the outstanding amount is settled.
  • We reserve the right to adjust pricing with 30 days written notice.

5. Service Availability

We aim to maintain high availability of our service but do not guarantee uninterrupted access. SMS and email delivery depend on third-party providers (Twilio, Resend) and carrier networks, which are outside our control. We are not liable for delays or failures in message delivery caused by third parties.

6. Intellectual Property

All content, branding, software, and materials associated with Review Recorder and SEO Growth remain our intellectual property. You may not copy, modify, distribute, or reverse-engineer any part of our platform or service without written permission.

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability to you for any claim arising from or related to our services is limited to the fees you paid in the 3 months preceding the claim.
  • We are not liable for any indirect, incidental, special, or consequential damages, including loss of revenue, reputation, or data.
  • We are not responsible for the content of reviews left by your customers, or for any action taken by Google or other platforms regarding your business listing.

8. Indemnification

You agree to indemnify and hold harmless SEO Growth, its directors, employees, and contractors from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your misuse of the service, or your failure to obtain proper consent from customers.

9. Termination

  • Either party may terminate the service with 14 days written notice.
  • We may terminate or suspend your access immediately if you breach these Terms, use the service for unlawful purposes, or fail to pay outstanding fees.
  • Upon termination, we will cease sending messages on your behalf. Data retention is governed by our Privacy Policy.
  • No refunds are provided for partial months of service.

10. Acceptable Use

You must not use our service to:

  • Send unsolicited messages (spam) to individuals without a prior business relationship.
  • Harass, threaten, or abuse any individual.
  • Solicit reviews in exchange for payment, discounts, or other incentives (which violates Google's policies).
  • Impersonate another business or individual.
  • Transmit malicious content or links.

11. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Victoria.

12. Changes to These Terms

We may update these Terms from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
